Nordic American Offshore moves to Bermuda

Offshore shipping company Nordic American Offshore (NAO) has decided to change its corporate domicile by moving it from the Republic of the Marshall Islands to Bermuda.

The offshore support vessel owner said on Monday that the change would be effective from September 27 and that the company’s common shares will start trading under a new CUSIP number G65772108.

NAO added that all shares of the company would automatically convert by operation of law into shares of the same class of the redomiciled NAO on a one-for-one basis.

“A registration statement on Form F-4 (File No. 333-211868) relating to the common shares of NAO has been declared effective by the Securities and Exchange Commission,” said NAO.

The company said that the change of corporate domicile would not affect the day-to-day business of the company and that NAO would continue to be listed on the New York Stock Exchange (NYSE).
